Terms
Terms & Conditions.
The ground rules for working together, in plain English. Last updated October 31, 2026.
These Terms & Conditions ("Terms") cover this website and every service from White Rock Digital ("WRD," "we" or "us"): websites, hosting, domain names, review requests, AI assistants and monthly plans. "You" means the person or business using this site or hiring us. You agree to these Terms when you use the site, approve a quote or pay a deposit. If you sign a separate agreement with us and it says something different, the signed agreement wins for that project.
1. Quotes and what's included
Every project starts with a written quote that lists what's included, the price and the expected timeline. The free consultation and free homepage mockup come with no obligation. Your project starts once you approve the quote and we receive the deposit. Quotes are good for 30 days unless they say otherwise. Anything that isn't in your quote isn't part of the project.
2. Deposit
Websites take a 50% deposit to start. The other 50% is due at launch. The deposit holds your spot in our schedule and pays for the planning, setup and design work that starts right away.
Once we've started work on your project, the deposit isn't refundable. It isn't a penalty. It covers time we set aside for you and work already done that we can't offer to anyone else. If we cancel a project before delivering anything, and it isn't because of something you did, we'll refund the deposit.
3. Payments, setup fees and refunds
Websites have a one-time price: 50% to start and 50% at launch, unless your quote sets a different schedule.
Setup fees. Some monthly plans have a setup fee. A setup fee is a one-time charge for setting up that plan's tools, like your review tool or AI assistant. It's added on top of the plan's monthly price. It isn't part of the monthly price and isn't spread over the months. It's due in full before setup starts, and it isn't refunded once setup has started. If you move to a plan with a higher setup fee later, you pay only the difference. For review texts, the setup fee also covers the one-time fees the phone companies charge to approve your texting number.
Monthly plans are charged automatically on the same day each month. By starting one, you allow us to charge your saved card or bank account each month until you cancel.
We take payments through Stripe (credit and debit cards, and ACH bank payments from a secure invoice link) and by direct bank transfer. Other ways to pay are fine if we agree in writing. Your card and bank details go straight to Stripe. We never see or store them.
Payments aren't refundable once the work they cover has started or been delivered, unless these Terms say a refund applies or Texas law requires one.
If a payment fails, you have 7 days to update your card. If it's still unpaid after 15 days, we may pause your services until it's paid. Pausing can include taking your website offline (visitors see a temporary "site unavailable" page) and stopping review texts and the AI assistant. We'll email you at least 3 days before taking your site offline, and we'll put it back online within 1 business day after you're paid up. Balances more than 30 days late may be charged interest of 1.5% a month (or the highest rate Texas law allows, if that's lower). You'll also cover reasonable costs of collecting money that's overdue. Prices don't include sales tax. Any Texas sales tax that applies is added to your invoices.
If a charge looks wrong, please talk to us first so we can fix it. If you dispute a charge with your bank (a "chargeback") for work we did, we may pause your services, and you'll cover the fees and costs if the dispute wasn't justified.
4. Revisions and extra work
Websites include 2 rounds of revisions within what's in your quote. A "round" is one written list of changes, sent together in one email or document. We make those changes and send the site back to you. Changes sent in pieces after a round has started go into the next round. Extra rounds are $75 an hour, and we'll tell you before an extra round starts.
Anything not in your quote, or any change after you've approved something, is extra work. That includes new pages, new features, new content, a different design direction or redoing work you already approved. Small jobs (under 2 hours) are $75 an hour. Bigger jobs get a written quote first. Extra work may move your launch date, and we'll give you the new date. Once you OK the quote, the work is added to your project or monthly plan and billed as quoted. We never bill for extra work you didn't OK.
5. Timelines
Launch dates are our honest best estimate. They depend on getting your content, feedback and approvals on time. If something we need from you arrives late, the schedule moves too, and we'll give you a new date.
6. Review window, approval and paused projects
When we send you a draft, a milestone or the finished site, or ask you for content, logins or a decision, you have 14 days to reply. If we don't hear back, we'll send a reminder. If we still don't hear back within 7 days after the reminder, that step counts as approved. If we're missing content, we may use placeholder content that you can replace later as extra work. Any balance due for that step is then due, and later changes count as extra work (section 4).
If we've been waiting on you for content, feedback, approval or payment for more than 30 days, we may pause the project and give your spot in our schedule to someone else. If it stays paused for more than 60 days in total, we may close it. If a project is closed, you pay for the work done up to that date, minus what you've already paid, and payments already made aren't refunded. To restart a paused or closed project, there's a restart fee of $150 or 10% of the project price, whichever is higher, and we'll give you a new launch date based on our schedule at the time. Projects closed for more than 6 months may need a new quote.
7. What we need from you
You give us accurate content, photos and business information, and you confirm you have the right to use them. You're responsible for your prices, offers and claims on your site, for any licenses or permits your business needs, and for keeping your own passwords safe. Please keep the email address on your domain registration up to date. Check your site before launch. Once you approve it, you're responsible for what it says.
8. Monthly plans
Our monthly plans are Care, Care + Reviews, Care + AI Assistant and the Complete Bundle. They renew every month until you cancel. Prices are on our pricing page or in your quote. The Care plan has no setup fee. The other plans have a one-time setup fee added on top of the monthly price (section 3).
Each plan includes up to 30 minutes of edits a month at no extra charge. Unused time doesn't carry over to the next month. If you need more edits that month, there's a $75 minimum charge, which covers up to 1 hour of edits. After the first hour, it's $75 an hour for the time it takes. We'll tell you before we start.
Anything beyond your plan is quoted first. If you ask for something that isn't one of our listed services, or your use goes past your plan's limits (for example, your AI assistant reaches its monthly reply limit and stops answering), we'll tell you and give you a price before doing anything. Nothing extra is charged until you OK it.
If you pay for a year up front, you get 1 month free (you pay for 11 months). If you cancel during a prepaid year, your plan keeps running until the end of that year, but the year isn't refunded.
9. Hosting and backups
While you have a monthly plan, we host your website on our hosting account and take care of updates, security and keeping it online. We work hard to keep your site up and safe, but we can't promise it will never go down or never have errors or security problems. If you buy a website without a monthly plan, you get the site at launch, either moved to your own hosting account or as a copy of the files.
While you're on a monthly plan, we keep regular backups, but please keep your own copies of important content too. We aren't responsible for lost data caused by an outside company, someone else, or changes made by someone other than us.
10. Domain names
We register domains in our own registrar account, with your business listed as the legal owner.
You must click the confirmation email the registrar sends you within 15 days. If you don't, the registrar can switch the domain off.
If you already own your domain, it stays with you. We only change its settings so it points to your new site.
Industry rules (set by ICANN, the group that runs domain names) don't allow a domain to move to another company within 60 days of being registered or moved. During that time, we'll point your domain to any host you choose and finish the move once the 60 days are up.
11. Cancelling and handing over your site
You can cancel a monthly plan with 30 days' notice in writing (email is fine). Your plan stays active and is billed as normal until the end of the billing period in which those 30 days end. That last period isn't split or refunded.
Once your account is paid in full, within 10 business days we'll move your website to your hosting account or send you the files. Your domain is different: your business is its legal owner, so we'll send the code you need to move it within 10 business days of your request, even if something is still unpaid (you still owe it). If you already owned your domain, we simply stop managing its settings.
You choose whether to move your domain to your own registrar or keep it with us under Domain Management for $30 a year.
Moving your domain is free after 12 months of service, or $75 before 12 months.
If you don't accept the handover within 30 days of us offering it, we may let the hosting and domain expire.
If your agreement with us gives you a discount or waives a setup fee, you agree to keep a monthly plan for at least 6 months. If you cancel sooner, you pay back the discount or the waived fee.
12. Services that stop when you cancel
Review requests and the AI assistant run on our accounts with outside tools, so they can't be transferred. They stop when your plan ends.
Reviews already posted on your Google Business Profile stay yours. If you ask, we'll send you the contact list used for review requests and the questions and answers your AI assistant was trained on.
Before the handover, we remove the AI assistant and live review feed from your site. If you'd like, we can replace the feed with a few of your reviews added as plain text.
We delete chat records and review-request contacts within 90 days after your plan ends, unless you ask for a copy before then or the law requires us to keep them.
13. Browsers and accessibility
Sites are built to work on current versions of major browsers and on modern phones, tablets and computers. Older or unusual browsers may not show everything the same way.
We follow common accessibility practices, such as readable colors, clear headings and image descriptions, so your site is easier for everyone to use. Full compliance with accessibility laws depends on many things, including content added later, so we can't guarantee it. A formal accessibility check can be quoted as extra work.
14. Review requests, texting and AI assistants
Review requests. Review requests go out by text message. After each finished job, you or your staff add the customer to a simple shared sheet we set up. About 2 hours later, the customer gets one friendly text from your business with a link to your Google review page. Texts only go out between 9 am and 8 pm in the customer's time zone. Only add customers who gave your business their mobile number and agreed to get a text from you about their job. Keep a record of that agreement (for example, a checkbox or line on your work order or invoice) and show it to us if we ask. Review texts only ask for a review. They never include sales offers, coupons or promotions. Anyone can reply STOP to stop texts, and we stop texting them right away. You agree to follow Google's review rules (for example, never paying or rewarding customers for reviews, and asking all customers, not just happy ones). You're responsible for the messages sent for your business. We may skip a contact, or pause or stop review texts right away, if someone complains, a phone company or Twilio flags the number, or we think the texts might break the law.
Getting your texting number approved. Phone companies have to approve a business's texting number before texts can go out, so the texts aren't blocked as spam. For this we need your business's legal name, address, tax ID (EIN) if you have one, and a contact person. Your website also needs a privacy policy and terms that mention texting, which you provide (section 19). Approval usually takes 1 to 3 weeks and is up to the phone companies, not us. Hosting and live reviews start right away, and texts start once the number is approved. If the phone companies turn it down, we'll tell you and work out a fix with you.
Texting limits. Each Reviews plan covers up to 300 review texts a month, one per finished job. If you need more, we'll tell you and give you a price first. Nothing extra is charged without your OK. We run review texts on our own texting (Twilio) and automation (Zapier) accounts, so you don't sign up for or pay those companies yourself. The texting number stays on our account and stops working when your plan ends.
AI Assistant. When these Terms say "AI Assistant," they mean a chat window we add to your website, powered by artificial intelligence (AI). It answers visitors' questions in that chat window, can share your online booking link if you have one (for example, Calendly or Jobber) so visitors can book themselves, and sends you the contact details visitors choose to leave, as new leads. It isn't a phone, texting, booking or payment service. It doesn't answer or make phone calls, send or reply to texts, book or confirm appointments itself, or take payments. It's software, not a person, and it's labeled as AI on your site. It answers using the business information you approve, but AI can sometimes get things wrong or leave things out, so it's there to help, not to replace you. We aim to keep it available whenever your site is online, but we can't promise it will always be up or working. It may be down, slow or limited because of outages or problems at the companies that run it, power or internet failures, maintenance or updates, or other things outside our control. When it's unavailable, visitors can still reach you by phone or through your contact form. It's set up to tell visitors to call 911 or your phone number in an emergency (like a gas smell, flooding, sparks or no heat in freezing weather), and not to diagnose problems. It doesn't give binding prices, quotes, discounts, warranties or appointment confirmations. Anything it says about price or timing has to be confirmed by you. You're responsible for the business information you approve for it. Please check its answers when we set it up, look over its chats from time to time, and tell us when anything changes. It shouldn't be set up to collect sensitive information like card numbers, passwords, Social Security numbers or health details, or to give medical, legal or financial advice.
Each AI Assistant plan covers normal use, up to 1,000 AI replies a month. If your AI assistant reaches that limit, it may stop answering until the next month. We'll let you know when it gets close. If you say yes in writing, it can keep answering past the limit at $0.03 per extra reply, added to your next monthly invoice, and you can turn that off any time. Nothing extra is charged without your OK.
Chats are handled by our AI assistant platform and the AI companies that power it. Our Privacy Policy explains how that information is handled.
15. Who owns what
Until everything for a project is paid in full, we own the website, designs, code, drafts and other work we make for you, and nobody can copy, publish, launch or use them. Once it's paid in full, the final website files and the website content we wrote for you are yours. If a payment is later reversed or charged back, ownership comes back to us until it's paid again. Your domain name is separate: your business is its legal owner from day one (section 10). Content you give us (your text, photos and logos) always stays yours.
We keep ownership of our own tools, templates and code that we use for many clients, and you get permanent permission to use them as part of your site. Outside items like fonts, plugins, stock photos and software have their own license rules.
We may show your finished site in our portfolio and add a small "Website by White Rock Digital" credit in your site's footer, unless you ask us not to.
16. Outside companies we use
Websites rely on outside companies, such as hosting companies, domain registrars, Google, text-message carriers, form and email services, payment processors, review tools, and AI companies. Their services have their own terms, and any fees they charge are separate unless your quote or plan includes them. We'll tell you which ones we use for your services. We aren't responsible for losses caused when one of these companies has an outage or problem, but we'll help you work through it. We may also use trusted helpers (contractors) for parts of a project, and we stay responsible for their work.
17. Keeping things private
We keep your logins, business details and other private information to ourselves and use them only to provide our services. We ask you to do the same with our prices, proposals and work that isn't public.
18. No guaranteed results
We do our best work to help your business grow, but we can't promise specific Google rankings, traffic, leads, reviews or sales. Those depend on many things outside our control, including changes Google makes.
19. Legal documents aren't included
We build websites. We aren't lawyers and don't give legal advice. We don't write, review or approve terms and conditions, privacy policies, cookie policies, disclaimers, refund policies, accessibility statements or any other legal document for your website or business. If your site needs any of these, you'll need to get them from a lawyer or another source you choose. If you send us finished text, we'll add it to your site as you give it to us, without reviewing it. You're responsible for making sure your website, your business and any information your site collects (for example, through contact forms, review requests or the AI assistant) follow the laws that apply to you. Any link or footer spot we add for these pages is just part of the layout.
20. Limits on what we're responsible for
IMPORTANT: This section limits what you can recover from WRD. Please read it carefully.
We stand behind our work, but we can't promise perfection. Apart from the promises written in these Terms, our website and services are provided as they are. We make no other promises, including unwritten ones that they'll suit a particular purpose, as far as Texas law allows.
We aren't responsible for indirect losses. If something goes wrong, we won't owe you for knock-on losses such as lost profits, lost sales, lost customers or leads, lost data, or time your website or business was down, even if we knew they could happen. We also aren't responsible for problems caused by outside companies we rely on (such as hosting, domain, texting, AI and payment companies), or by hackers or viruses, unless we caused it through serious carelessness.
There's a cap. The most we'll ever owe for all claims put together, whether the claim is based on contract, negligence or anything else, is what you paid us in the 12 months before the problem happened. Any claim has to be brought within 2 years after it arises. None of this takes away rights the law says you can't give up.
21. If someone makes a claim because of you
If someone makes a legal claim against WRD because of content or materials you gave us, messages sent for your business (including review texts), how you use your website, or because you broke these Terms or the law, you agree to defend WRD and cover the resulting losses and reasonable lawyer fees.
22. Things outside anyone's control
Neither of us is responsible for delays or failures caused by things outside our reasonable control, such as severe weather, power or internet outages, outside companies going down, illness, government action or other emergencies. Payment for work already done is still due. If one of these lasts more than 60 days, either of us can end the affected work by giving notice in writing.
23. Ending the work
Either of us can end a website project by giving notice in writing. Monthly plans end as described in section 11. You pay for work done and costs already committed up to that date, and the deposit is handled as described in section 2. If we end a project or a monthly plan for a reason that isn't caused by you, we'll refund anything you paid for work we haven't done yet (including any part of the deposit), and the unused months of a prepaid year. We may stop work right away if invoices go unpaid, or if a project would involve anything illegal, misleading or abusive. Parts of these Terms that naturally need to continue, like payment, ownership, privacy, limits on responsibility and section 21, still apply after the work ends.
24. Price changes
We give at least 30 days' notice in writing before changing the price of a plan you're already on.
25. Using this website
The design, text, graphics and code of this website belong to White Rock Digital. Please don't copy or reuse them without asking, and don't use the site to send spam, try to break in or mess with how it works. Information on this site is general and may change. Your written quote is what counts for your project.
26. If we disagree
Texas law applies to these Terms. If a problem comes up, let's talk first. Most things can be sorted out with a phone call. If we can't solve it within 30 days, either of us can ask for mediation (a meeting with a neutral person who helps us agree) in Dallas County, Texas, before anyone files a lawsuit. Any lawsuit has to be filed in the state or federal courts in Dallas County, Texas.
27. The rest
We're an independent business, not your employee or partner. Approvals, notices and signatures can be given by email or electronically, and they count the same as paper. If a court decides part of these Terms can't be enforced, that part is changed only as much as needed so it can be, as close as possible to what was meant, and the rest still applies. That's especially true of the limits in section 20, which are part of how we keep our prices low. If we don't enforce a term right away, we haven't given it up. You can't hand your agreement over to someone else without our OK in writing. We may update these Terms. The "last updated" date at the top shows the latest version, and active projects stay under the terms they started with unless we both agree otherwise.
28. Contact
